Affiliate Programme Agreement

This Affiliate Programme Agreement (“Agreement”) is between Draw LLC, a company registered in Sharjah Media City Free Zone (SHAMS), UAE (“Draw”, “we”, “us”) and you, the individual or entity joining the Draw affiliate programme (“Affiliate”, “you”).

By ticking the acceptance box and joining on the Affiliate page in your Draw account, you agree to be bound by this version of the Agreement. Draw records the version you accepted, the time and your IP address. If you are acting on behalf of an organisation, you confirm you have authority to bind it.

Standard — Self-serve. You join by accepting this Agreement and choosing a referral code. Commission is earned for 36 months from the date each referred subscriber registers with Draw.

VIP — Invitation only, under a separate agreement signed with Draw. Commission is earned for as long as the referred subscriber remains an active paying customer, with no time cap.

Draw may decline or suspend participation, determine tier eligibility at its sole discretion, and move affiliates between tiers with written notice.

Rate: 20% of the Net Subscription Revenue that Draw earns from each referred subscriber.

Accrual basis: Commission is calculated on revenue as Draw earns it, not on cash when it is received. Draw earns subscription revenue evenly over the service period each invoice covers: a monthly plan in the month it covers, and an annual plan one-twelfth in each month of the year it covers. Your commission for a month is 20% of the Net Subscription Revenue Draw earned from your referred subscribers in that month.

Paid invoices only: Only invoices the referred subscriber has paid count. An unpaid invoice earns no commission. If an invoice is paid after the month it relates to has been closed, the commission is included in your next statement.

Net Subscription Revenue means the subscription fee invoiced for a qualifying plan, less:

• discounts, promotions and account credits, including Founding Member discounts;
• VAT and any other taxes;
• payment-processing fees on the payment, apportioned to the subscription in proportion to its share of the payment; and
• refunds, credit notes and chargebacks (see section 6).

Qualifying revenue: Monthly and annual subscription plans (Starter, Pro, Team) only. The following never generate commission: free tier accounts; e-invoice wallet and send-credit purchases; Draw Connect; enterprise contracts; seat overage charges; services; and one-time fees of any kind.

When commission starts: From the referred subscriber's first paid billing period. There is no commission on free tier usage.

When commission stops: At the end of the 36-month period (Standard), or when the referred subscriber's subscription is cancelled, lapses, or is terminated for any reason, whichever comes first. There is no trailing commission after a subscription ends, and none if the same subscriber later subscribes again.

Currency: Commission is stated and paid in USD. Revenue that Draw receives in another currency is converted at the rate recorded in Draw's books for that transaction.

Authoritative record: Draw's accounting and revenue records are the authoritative and final basis for every commission calculation.

A subscriber is attributed to you when they register with Draw using your referral code, or within 60 days of clicking your affiliate link. If a visitor clicks more than one affiliate link before registering, the most recent click gets the attribution (last click).

Each subscriber can be attributed to only one affiliate, and attribution is fixed at registration. A subscriber is not attributed to you if they already had a Draw account before using your code or link, or if the referral is a self-referral (section 7).

Draw's tracking records are the authoritative and final record of attribution. Your own analytics are not accepted as the basis for a dispute.

Statements: Draw closes each calendar month and issues your statement for it within 10 business days. The statement shows the commission accrued, any reversals, and the amount payable. It is available in the Draw partner portal.

Disputes: You may dispute a statement through the partner portal within 60 days of its issue. After that, the statement is final.

Payment: On or before the 15th of the month following the statement month, by bank transfer to the account you register in the partner portal. Changes to bank details are verified before they are used. Draw is not liable for failed payments caused by incorrect details you have provided.

Minimum payout: USD 50. Smaller amounts carry forward until the minimum is reached.

Currency and taxes: Payments are made in USD, and any conversion risk is yours. You are solely responsible for declaring and paying any taxes on commission you receive.

A refund, credit note or chargeback on a referred subscriber's invoice reduces Net Subscription Revenue. The part that relates to months already earned is deducted in the month the refund, credit note or chargeback occurs. The part that relates to months not yet earned is never accrued.

Commission is also reversed if it was generated through fraud, self-referral or a breach of this Agreement, or if Draw terminates the referred subscriber's account for breach of Draw's Terms of Service.

Window: A refund, credit note or chargeback reduces commission if it occurs within 90 days after the end of the month in which the invoice it reverses first earned revenue. There is no time limit for reversals for fraud or self-referral.

Method: Reversals are netted against commission on your next statement. If the result is negative, the balance carries forward against future commission. If no future commission is expected, Draw may invoice you, and you agree to pay within 14 days.

The following are strictly prohibited and will result in immediate termination and forfeiture of all unpaid commission:

• Self-referral: referring yourself, your own business accounts, members of your household, or your employees;
• Cookie stuffing: setting affiliate cookies without a genuine user click;
• Fake or incentivised sign-ups: paying or pressuring others to sign up solely to generate commission;
• Branded keyword bidding: running paid ads on “Draw”, “Draw app”, “draw-app.com” or any variation or misspelling;
• Misleading claims: false or unverifiable claims about Draw's features, pricing, uptime or compliance;
• Spam: unsolicited commercial messages by email, WhatsApp or SMS;
• Impersonation: presenting yourself as a Draw employee, agent or official spokesperson;
• Coupon aggregators: publishing Draw referral codes on coupon sites without prior written consent.

You must clearly and prominently disclose your affiliate relationship with Draw in all promotional content, including blog posts, social media, videos, emails and WhatsApp messages. Acceptable disclosure: “I earn a commission if you sign up through my link.” The disclosure must appear before or alongside the affiliate link, not buried in footnotes or hashtags.

Draw grants you a limited, non-exclusive, revocable licence to use Draw's name, logo and approved marketing materials solely to promote the programme. You may not alter Draw's brand assets, register domain names or social handles containing “Draw” or “draw-app”, or create advertising that imitates Draw's official marketing. Draw may revoke this licence at any time.

Participation confers no equity, shares or ownership in Draw LLC. Commission is neither profit-sharing nor a return on investment.

You agree to keep non-public information about Draw confidential, including commission rates, statements, payout data and internal programme metrics, for 3 years after termination. This obligation survives termination.

By you: On 14 days' written notice to [email protected].

By Draw with notice: On 30 days' written notice for any reason, including discontinuation of the programme.

By Draw immediately: For breach of section 7, fraud, misrepresentation, reputational harm to Draw, or breach of Draw's Terms of Service. All unpaid commission is forfeited.

Effect: Commission stops accruing on the termination date and your referral code and link are deactivated. Except on termination under “By Draw immediately”, commission accrued before termination is paid in the normal statement cycle and remains subject to section 6.

Referred subscribers are told at registration that they were referred and that you will see their account in your statements. You may use information about referred subscribers that you see in the partner portal or on statements only to administer your participation in the programme. You must keep it confidential and must not use it to contact subscribers for any other purpose.

Your access to the partner portal is personal to you and the team members you invite. You are responsible for activity under your account.

Draw's total liability to you under this Agreement shall not exceed the total commission paid to you in the three months preceding the claim. Draw is not liable for any indirect or consequential damages or lost profits.

Draw may modify this Agreement on 30 days' written notice by email. Continued participation after the notice period constitutes acceptance. If you do not accept the changes, you must terminate before they take effect. Each version is numbered and dated, and Draw keeps a record of the version each affiliate accepted.

This Agreement is governed by the laws of the UAE as applied in the Emirate of Sharjah. Disputes shall be subject to the courts of Sharjah or, at Draw's election, resolved by arbitration under the DIAC Arbitration Rules.

This Agreement, together with Draw's Terms of Service and Privacy Policy, is the entire agreement between the parties regarding the affiliate programme and supersedes all prior discussions and prior versions. VIP affiliates may have additional terms in a separate signed agreement; where they conflict with this Agreement, the VIP terms prevail.
