1. Parties and Agreement
This Affiliate Programme Agreement (“Agreement”) is between Draw LLC, a company registered in Sharjah Media City Free Zone (SHAMS), UAE (“Draw”, “we”, “us”) and you, the individual or entity applying to join the Draw affiliate programme (“Affiliate”, “you”).
By clicking to accept inside your affiliate dashboard, you agree to be bound by this Agreement. If you are acting on behalf of an organisation, you confirm you have authority to bind it.
2. Programme Tiers
Standard — Self-serve. Open to anyone who applies and is approved. Commissions are earned for 36 months from each referred subscriber's signup date.
VIP — Invitation only, managed directly by Draw. Commissions are earned for as long as the referred subscriber remains an active paying customer, with no time cap.
Draw reserves the right to determine tier eligibility at its sole discretion and to move affiliates between tiers with written notice.
3. Commission Structure
Rate: 20% of the net subscription fee actually received by Draw from each referred subscriber per billing cycle.
Qualifying revenue: Monthly and annual subscription plans (Starter, Pro, Team) only. Commissions are calculated on the amount Draw actually receives after any applicable discounts — including Founding Member discounts.
Non-qualifying revenue — the following do not generate affiliate commissions under any circumstances:
- Free tier accounts
- E-invoice wallet credit purchases
- Enterprise contracts
- Seat overage charges
- One-time fees of any kind
When commissions start: From the referred subscriber's first successful paid billing cycle. No commission on free trials or free tier usage.
When commissions stop: Immediately and automatically when the referred subscriber's subscription is cancelled, lapses, or is terminated for any reason. There is no trailing commission after churn.
4. Attribution and Tracking
Your unique referral code is the definitive method of attribution. A referred subscriber is attributed to you when they sign up using your referral code at signup.
Cookie window: 60 days from the date of the affiliate link click.
Attribution model: Last-click. If a visitor clicks multiple affiliate links before signing up, the most recent gets the attribution.
Definitive record: Draw's tracking data is the authoritative and final record for all attribution and commission calculations. Affiliate's own analytics are not accepted as the basis for commission disputes.
One attribution per subscriber: A referred subscriber can only be attributed to one affiliate. Last-click rule applies where multiple codes are used.
5. Payment Terms
Payout schedule: Monthly, on or before the 15th of the following month by bank transfer.
Minimum payout threshold: $50 USD. Amounts below this carry forward until the threshold is met.
Payment method: Bank transfer to the account details you provide. You are responsible for keeping your details accurate. Draw is not liable for failed payments due to incorrect details.
Currency: USD. Exchange rate risk on conversion is borne by the affiliate.
Taxes: You are solely responsible for declaring and paying any taxes applicable to commissions you receive.
6. Clawback and Commission Reversal
The following events will result in a commission being reversed or deducted from future payouts:
- The referred subscriber successfully disputes or reverses a payment (chargeback) with their bank or card issuer
- The referred subscriber's payment fails and is not recovered
- The commission was generated through fraudulent activity, self-referral, or breach of this Agreement
- The referred subscriber's account is terminated by Draw for breach of Draw's Terms of Service
Clawback window: Up to 90 days after the original commission was earned. No time limit for fraud or self-referral.
Method: Deducted from your next available payout. If insufficient, Draw will invoice you and you agree to pay within 14 days.
7. Prohibited Activities
The following are strictly prohibited and will result in immediate termination and forfeiture of all unpaid commissions:
- Self-referral: Referring yourself, your own business accounts, household family members, or your employees
- Cookie stuffing: Dropping affiliate cookies without a genuine user click
- Fake or incentivised sign-ups: Paying or coercing others to sign up purely to generate a commission
- Branded keyword bidding: Running paid ads on “Draw”, “Draw app”, “draw-app.com” or any variation or misspelling
- Misleading claims: False or unverifiable claims about Draw's features, pricing, uptime, or compliance
- Spam: Unsolicited commercial messages via email, WhatsApp, or SMS
- Impersonation: Representing yourself as a Draw employee, agent, or official spokesperson
- Coupon aggregators: Publishing Draw referral codes on coupon sites without prior written consent
8. Disclosure Requirements
You must clearly and prominently disclose your affiliate relationship with Draw in all promotional content — blog posts, social media, videos, emails, and WhatsApp messages. Acceptable disclosure: “I earn a commission if you sign up through my link.” Disclosure must appear before or alongside the affiliate link, not buried in footnotes or hashtags.
9. Brand and Trademark Use
Draw grants you a limited, non-exclusive, revocable licence to use Draw's name, logo, and approved marketing materials solely for programme promotion. You may not alter Draw's brand assets, register domain names or social handles containing “Draw” or “draw-app”, or create advertising that mimics Draw's official marketing. Draw may revoke this licence at any time.
10. No Equity
Participation confers no equity, shares, or ownership in Draw LLC. Commission is not profit-sharing or a return on investment.
11. Confidentiality
You agree to keep non-public information about Draw confidential — including commission rates, payout data, and internal programme metrics — for 3 years after termination. This obligation survives termination.
12. Termination
By you: 14 days' written notice to [email protected]. Confirmed commissions earned before termination are paid in the next regular cycle. Commissions within the clawback window remain subject to clawback.
By Draw with notice: 30 days' written notice for any reason, including discontinuation of the programme.
By Draw immediately: For breach of Section 7, fraud, misrepresentation, reputational harm to Draw, or breach of Draw's Terms of Service. All unpaid commissions are forfeited.
On termination, your referral link is deactivated and no new commissions are generated.
13. Limitation of Liability
Draw's total liability to you under this Agreement shall not exceed the total commissions paid to you in the three months preceding the claim. Draw is not liable for any indirect, consequential, or lost-profit damages.
14. Modifications
Draw may modify this Agreement with 30 days' written notice by email. Continued participation after the notice period constitutes acceptance. If you do not accept the changes, you must terminate before they take effect.
15. Governing Law
This Agreement is governed by the laws of the UAE as applied in the Emirate of Sharjah. Disputes shall be subject to the courts of Sharjah or, at Draw's election, resolved by arbitration under the DIAC Arbitration Rules.
16. Entire Agreement
This Agreement, together with Draw's Terms of Service and Privacy Policy, constitutes the entire agreement between the parties regarding the affiliate programme and supersedes all prior discussions. VIP affiliates may have additional terms in a separate signed agreement; in the event of conflict, VIP-specific terms prevail.
